Terms of Business

Effective Date: June 2026

These Terms of Business govern the relationship between Stefanie Helene, trading as The Oya Energy (referred to throughout as "we", "us" or "The Oya Energy"), and any individual who books a session, purchases a package, attends a workshop or circle, purchases a digital product or otherwise engages with our services (referred to as "you" or "the client").

By booking a session, purchasing a product or otherwise engaging with our services, you confirm that you have read, understood and agree to these terms.

Please read these terms carefully before making a booking or purchase.

1. THE NATURE OF THE WORK

Transformational Breath® is a registered trademark of the Transformational Breath Foundation. The Oya Energy offers Transformational Breath® facilitation in accordance with training and certification from the Transformational Breath Foundation UK.

Breathwork facilitation is a complementary practice intended to support wellbeing, self-awareness and personal growth. It is not a substitute for medical advice, diagnosis or treatment of any kind and does not constitute therapy, counselling or psychotherapy.

If you have any existing medical or mental health condition, you must consult a qualified healthcare professional before engaging in breathwork. A full list of relevant contraindications is published in our Disclaimer at theoyaenergy.co.uk/disclaimer.

All new clients are required to complete an intake form before their first session. This form gathers health and medical information to ensure your safety. Completion of the intake form does not guarantee suitability. The Oya Energy reserves the right to decline to work with any individual where there is a reasonable concern about safety.

2. PAYMENT

Payment is due in full at the time of booking unless otherwise agreed in writing.

Payment is accepted via the methods available at the time of booking. Current payment options are listed on the website at theoyaenergy.co.uk.

Sessions, packages, workshops and digital products will not be confirmed until payment has been received.

All prices are stated in pounds sterling (£) and are inclusive of any applicable taxes unless otherwise stated.

3. 1:1 SESSIONS

Single 1:1 sessions are available in person or online.

- In-person sessions: up to 2 hours. Delivered in Colchester, Essex.

- Online sessions: up to 1 hour 45 minutes. Delivered via Google Meet.

Current pricing is listed at theoyaenergy.co.uk. Prices are subject to change. Any price change will not affect sessions already paid for.

4. PACKAGES

The following packages are currently available. All include 1:1 sessions as described above.

- The Opening Path: 3 sessions. Valid for 2 months from the date of the first session. £320.

- The Journey Path: 6 sessions. Valid for 3 months from the date of the first session. £640.

- The Transformation Path: 10 sessions. Valid for 6 months from the date of the first session. £1,050.

Separate in-person and online packages are available. Package type must be selected at the time of purchase and cannot be changed once the package has commenced.

Package terms:

- Full payment is due at the time of booking the first session.

- Packages are non-refundable once the first session has taken place.

- Sessions within a package may be rescheduled subject to the cancellation and rescheduling terms in clause 6. Rescheduled sessions must take place within the package expiry period.

- Unused sessions that remain after the package expiry date will be forfeited. Expiry dates are calculated from the date of the first session in the package.

- Packages are personal to the individual who purchased them. They are non-transferable and may not be split, shared or gifted to another person.

- In cases of serious illness or exceptional circumstances, please contact us directly to discuss options.

The Oya Energy reserves the right to adjust pricing and package terms. Existing packages will honour the terms in place at the time of purchase and will not be affected by subsequent changes.

5. WORKSHOPS AND BREATH CIRCLES

Workshop and breath circle bookings are confirmed upon receipt of full payment.

- Breath Reconnection Workshops: open to all. No prior breathwork experience required.

- Themed Workshops and Breath Circles: require prior attendance at a Breath Reconnection Workshop or at least one 1:1 session with Stefanie. This requirement exists for your safety and the integrity of the group space.

By booking a workshop or circle, you confirm that you meet any prerequisite stated for that event.

Workshops and breath circles are non-refundable once payment has been made, subject to the cancellation terms in clause 6.

The Oya Energy reserves the right to cancel or reschedule a workshop or circle if minimum attendance numbers are not met or due to circumstances outside our control. In such cases, a full refund will be issued or an alternative date offered.

6. CANCELLATION AND RESCHEDULING

Your cancellation

A minimum of 48 hours' notice is required to cancel or reschedule any session, workshop or circle.

- Cancellations or reschedule requests received with 48 hours or more notice: the session may be rescheduled or a refund issued at our discretion.

- Cancellations or reschedule requests received with less than 48 hours notice: the session will be charged in full. No refund will be issued and, in the case of a package, the session will be counted as used.

- No-shows (failure to attend without notice): charged in full. No refund will be issued and the session will be counted as used where applicable.

- Arriving under the influence of alcohol or drugs: the session will be cancelled immediately on arrival or at the start of the online call. No refund will be issued.

Our cancellation

If we need to cancel or reschedule your session, we will provide as much notice as possible. You will be offered a rescheduled appointment at a mutually convenient time or a full refund of any payment made for that session.

7. DIGITAL PRODUCTS

Digital audio products, including Come Home and any future audio releases, are delivered electronically upon receipt of payment.

Due to the nature of digital products, all sales are final. No refunds are offered once a digital product has been purchased and the download link has been provided, except where the product is faulty or not as described.

All audio products are for personal use only. They may not be shared, reproduced, distributed or used for commercial purposes.

8. GIFT VOUCHERS

Gift vouchers are available for purchase and may be redeemed against services offered by The Oya Energy. The specific services against which a voucher may be redeemed, and any conditions of redemption, are stated on the voucher itself.

Gift vouchers have an expiry date stated on the voucher. Expired vouchers cannot be extended or refunded.

Gift vouchers are non-refundable and have no cash value.

9. CONFIDENTIALITY

Everything shared during a session, what arises through the breath, what is discussed before or after, and any personal information disclosed, is treated as confidential. We do not share client information with third parties, discuss sessions with other clients or use identifiable client experiences in any public-facing content.

Confidentiality has one limit. If we have a genuine concern that you or another person, including a child, is at serious risk of harm, we may need to seek guidance from an appropriate body or take action beyond the session. Where it is safe to do so, we will discuss this with you before taking any action.

This limit is consistent with our Safeguarding Protocol and Privacy Policy. By engaging with our services, you acknowledge and accept this position.

All personal data is processed in accordance with our Privacy Policy, available at theoyaenergy.co.uk/privacy.

10. CODE OF CONDUCT

Both client and facilitator agree to maintain a professional, respectful and safe environment throughout all sessions and communications.

We reserve the right to end a session or the working relationship immediately if a client's behaviour is threatening, abusive, discriminatory or otherwise unsafe. In such cases, no refund will be issued for the session in which the behaviour occurred.

11. RESULTS AND TESTIMONIALS

Breathwork may offer significant physical, emotional and spiritual benefits. However, results are not guaranteed and vary between individuals. Nothing in our communications, website content or testimonials constitutes a guarantee of any specific outcome.

By engaging with our services, you acknowledge that participation is voluntary and that you take personal responsibility for your experience.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, The Oya Energy and Stefanie Helene accept no liability for any direct, indirect, incidental or consequential loss or damage arising from participation in sessions, workshops, circles or use of audio products, except where such liability cannot be excluded by law.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Your statutory rights as a consumer are not affected by these terms.

13. TERMINATION OF THE WORKING RELATIONSHIP

Either party may end the working relationship at any time.

If you choose to end the relationship, any unused sessions within a current package will be managed in accordance with the package refund terms in clause 4. No refund will be issued for sessions already completed.

If we choose to end the working relationship, we will provide reasonable notice where possible and will refund any unused sessions within a current package on a pro-rata basis.

14. GOVERNING LAW

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your engagement with The Oya Energy will be subject to the exclusive jurisdiction of the courts of England and Wales.

15. ENTIRE AGREEMENT

These terms, together with our Privacy Policy and Disclaimer, represent the entire agreement between us in relation to the services described and supersede any prior understandings, representations or agreements, whether written or verbal.

16. AMENDMENTS

We may update these terms from time to time to reflect changes to our services, legal requirements or business operations. Any changes will be posted on this page with an updated effective date. We will provide reasonable notice of material changes where possible.

Your continued use of our services following any update to these terms constitutes acceptance of the revised terms.

17. WAIVER

Failure by either party to enforce any provision of these terms shall not be treated as a waiver of that provision or of any other right under these terms.

18. SEVERABILITY

If any provision of these terms is found to be invalid, unlawful or unenforceable by a court of competent jurisdiction, that provision will be deemed severed from the remaining terms, which will continue in full force and effect.
